By joining the Pacific Cross-border Advisors Network (hereinafter “PCAN” or “the Network”), you (“Member”) agree to be bound by these Terms & Conditions.

PCAN is a professional membership organization designed to facilitate networking, education, and collaboration among independent professionals. PCAN is not a professional services firm. PCAN does not provide financial, legal, tax, accounting, or insurance advice, nor does it act as a broker-dealer or investment advisor.

2. Independent Status (No Joint Venture)

Each Member is an independent professional or entity operating under their own brand, licenses, and regulatory obligations.

  • No Agency: Nothing in this Agreement creates a partnership, joint venture, agency, or employer-employee relationship.

  • No Supervision: PCAN does not supervise, control, or direct the professional work, advice, or client engagements of its members.

  • Independent Discretion: Members retain full and absolute discretion over the advice provided to their clients.

3. Professional Standing & Compliance

As a condition of membership, Member represents and warrants that:

  • They are duly licensed and in good standing in their respective jurisdictions and fields.

  • They carry professional liability insurance (errors and omissions) appropriate for their field.

  • Notification Requirement: Member must notify PCAN within ten (10) business days if their professional license is suspended, revoked, or if they become the subject of a formal regulatory disciplinary action. PCAN reserves the right to terminate membership immediately in such cases.

4. Referrals & Introductions

PCAN may facilitate introductions between Members. Members acknowledge the following:

  • Duty of Diligence: All introductions are a professional courtesy only. Members are solely responsible for performing their own due diligence before collaborating with or referring clients to another Member.

  • No Guarantee: PCAN does not guarantee the quality, accuracy, or outcome of services provided by any Member.

  • Compliance: Any referral fees or compensation arrangements must be handled directly between Members and must comply with all applicable securities laws and professional ethics rules. PCAN does not participate in fee-sharing.

5. Confidentiality & Data Privacy

  • Anonymization: When discussing case studies in Network roundtables or forums, Members must ensure all client data is fully anonymized unless explicit, written client consent has been obtained.

  • Privacy Laws: Members agree to comply with all applicable data privacy laws regarding any information shared within the Network.

6. Fees, Renewals & Cancellations

  • Annual Fee: The membership fee for founding members is $495 per year.

  • Non-Refundability: Fees are non-refundable once membership access has been granted.

  • Automatic Renewal: Memberships renew automatically. To avoid renewal charges, Members must provide written notice of cancellation at least thirty (30) days prior to the renewal date.

7. Code of Conduct & Community Engagement

7.1 Professionalism and Integrity

Members are expected to maintain the highest standards of professional ethics. Disparagement of other Members, sharing of misleading information, or failure to disclose relevant professional conflicts of interest is grounds for immediate termination of membership.

7.2 Monthly Meetings, Member Spotlight & Educational Presentations

To ensure that Network interactions remain focused on collaboration and education, Members agree to the following:

  • The "No-Pitch" Rule: Monthly meetings and other events are for knowledge-sharing, not active prospecting. Members may not use these sessions to aggressively solicit other Members for services or products.

  • Case Anonymization: Members are strictly prohibited from sharing Personal Identifiable Information (PII) of clients (names, specific addresses, or account numbers) during any Network event.

  • Collaboration Etiquette: Members are encouraged to offer peer feedback. However, such feedback is provided as a professional courtesy and does not constitute a formal peer-review or supervisory sign-off.

PCAN may invite Members to participate in educational programs, roundtables, webinars, panel discussions, or Member Spotlight presentations.

Members who present educational content acknowledge and agree that:

  • Presentations are intended solely for professional education, discussion, and knowledge-sharing among Members.

  • Presenters are solely responsible for the accuracy, completeness, and legality of their content.

  • When presenting a case study, presenters agree not to share any Personal Identifiable Information (PII) of clients.

  • Presentation content does not constitute legal, tax, accounting, insurance, investment, or other professional advice to any attendee.

  • PCAN does not review, verify, endorse, or guarantee the accuracy of any presentation materials or opinions expressed by presenters.

  • Attendees remain responsible for conducting their own professional due diligence and independent analysis before relying upon any information presented.

By participating as a presenter, Members grant PCAN a non-exclusive, royalty-free license to record, reproduce, and make available the presentation to other PCAN Members through Network platforms only, unless otherwise agreed in writing prior to the presentation.

7.3 Anti-Spam & Solicitation

  • Directory Use: The Member Directory is provided to facilitate one-on-one collaboration. Using the directory for mass solicitation, automated scraping, or adding Members to unauthorized mailing lists is strictly prohibited.

  • Event Respect: No Member may use PCAN-sponsored events or materials to promote a competing network, professional organization, or personal seminar without prior approval from PCAN leadership.

7.4 Rights of the Network

PCAN reserves the right, at its sole discretion, to:

  1. Remove a Member from a specific digital forum or physical event for disruptive behavior.

  2. Review and moderate content posted to any Network-hosted platform.

  3. Terminate membership without refund for repeated violations of these conduct standards.

8. Limitation of Liability & Indemnification

  • Liability Cap: To the maximum extent permitted by law, the total liability of PCAN for any claim arising out of this agreement shall not exceed the total membership fees paid by the Member during the twelve (12) months preceding the claim.

  • Exclusion of Damages: PCAN shall not be liable for any indirect, incidental, or consequential damages resulting from a Member’s professional advice or disputes between Members and their clients.

  • Indemnification: Member agrees to indemnify and hold PCAN harmless from any claims, losses, or legal fees arising from the Member's professional services, misconduct, or violation of applicable laws.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.
